Terms & Conditions
Powerbase is a proprietary engine owned and operated by Spero Studio. These Terms govern your access to and use of Powerbase, including any contact lists or data you upload. By creating an account, signing in, or uploading data, you agree to these Terms.
1. Accounts & access
Powerbase is invite-only. Access is granted by Spero Studio to specific individuals as a Client (search and outreach) or an Admin (contribute and upload lists). You are responsible for keeping your credentials secure and for all activity under your account. You may not share access or transfer your account without our written permission.
2. Data you upload — the important part
When you (an Admin) upload a list, you are contributing that data to the master Powerbase database. Powerbase will clean, standardize, de-duplicate, and organize your list, and the resulting records become part of the unified Powerbase base, where they may be searched and acted on by Spero Studio and authorized users — independent of your original file.
By uploading any list or data, you represent and warrant that:
- You have the legal right and authority to provide that data and to grant the rights described here;
- The data was collected lawfully and with any consents required by applicable law for the intended outreach (including, where relevant, the TCPA, CAN-SPAM Act, and applicable state privacy laws);
- You will not upload data that is stolen, scraped in violation of a third party's terms, subject to a confidentiality obligation that prohibits this use, or that you are otherwise not permitted to share.
You grant Spero Studio a perpetual, worldwide, royalty-free license to host, process, clean, merge, de-duplicate, enrich, and use the uploaded data as part of the Powerbase database and to operate, improve, and provide the service. Once merged, records cannot necessarily be isolated or fully withdrawn from the unified base.
3. Accuracy & compliance
Powerbase's cleaning and enrichment tools are provided to improve data quality, but they are automated and offered "as is" — we do not guarantee that every record is accurate, complete, deliverable, or suitable for any particular outreach. You remain responsible for complying with all laws that apply to your outreach, including obtaining and honoring consents and opt-outs, suppressing do-not-contact requests, and following calling, texting, and emailing rules in the relevant jurisdictions.
4. Confidentiality & security
The Powerbase database, its contents, and any data accessed through it are confidential. You will not export, copy, sell, license, publish, or disclose the data except as needed for the outreach Spero Studio authorizes, and you will protect it with reasonable safeguards. Data is stored in access-controlled infrastructure and is never made publicly available by us.
5. Acceptable use
- Use Powerbase only for lawful outreach and organizing purposes authorized by Spero Studio;
- Do not resell, redistribute, or build a competing dataset or product from Powerbase data;
- Do not use the data to harass, defraud, discriminate against, or harm any person;
- Do not attempt to circumvent access controls, scrape the platform, or reverse-engineer the engine.
6. Ownership
Powerbase, the unified database, and all related software, design, and methods are the exclusive property of Spero Studio. These Terms grant you a limited, revocable, non-exclusive right to use the service — not any ownership of Powerbase or the master database. Data you upload remains subject to the license in Section 2.
7. Privacy
Powerbase handles personal information about real people. We process it to operate the service and support authorized outreach. We do not sell the database. If an individual exercises a privacy right (such as a deletion or do-not-contact request), Spero Studio will act on it as required by law; you agree to promptly forward any such requests you receive.
8. Termination
We may suspend or terminate access at any time, including for breach of these Terms. On termination, your right to access Powerbase ends, but data already merged into the master database, and the licenses granted in these Terms, survive.
9. Disclaimers & liability
Powerbase is provided "as is" and "as available," without warranties of any kind. To the fullest extent permitted by law, Spero Studio is not liable for any indirect, incidental, or consequential damages, or for any outreach decisions you make using the data. You are responsible for your own use of the platform.
10. Changes
We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above, and continued use after a change constitutes acceptance.
